Terms &
Conditions

17785909 Canada Inc.
Operating as TrueNorth Strategy & Operations

1. About These Terms

These Terms and Conditions govern services provided by 17785909 Canada Inc., operating as TrueNorth Strategy & Operations (“TrueNorth,” “we,” “us,” or “our”).

“You” and “your” refer to the individual or organization purchasing our services. Anyone accepting an agreement on behalf of an organization confirms that they have authority to bind that organization.

These terms form part of your service agreement when provided to you and accepted through a signed proposal, electronic acceptance, or written authorization expressly referring to these terms.

If a signed proposal or service agreement conflicts with these terms, the signed document takes precedence, subject to applicable law.

2. Services and Scope

We provide logo digitization, social media management, website design and management, administrative support, business consulting, and practical services involving labour, waste management, events, and facilities.

Your proposal or service agreement will identify the services, deliverables, fees, timelines, and any ongoing commitments included in your purchase.

Services, revisions, purchases, or tasks outside the agreed scope require additional approval and may involve additional charges. We will obtain your approval before performing work that increases the agreed price.

3. Quotes, Fees, and Payment

Unless otherwise stated, prices are in Canadian dollars. Applicable taxes and any additional mandatory charges will be disclosed before you commit to a purchase.

Website prices marked “from,” “starting at,” or “negotiable” are estimates or starting prices. Your accepted quote establishes the price for your specific requirements.

Deposits, payment milestones, and invoice due dates will be set out in your proposal or invoice. We may require a deposit before scheduling or beginning work.

Third-party expenses, including advertising, hosting, domains, software, materials, transportation, and disposal fees, require your approval unless expressly included in the agreed price.

If payment becomes overdue, we may suspend affected services after written notice and a reasonable opportunity to pay. Any resulting schedule changes will be communicated to you.

4. Client Responsibilities

You agree to provide timely instructions, accurate information, necessary materials, required access, and approvals.

You are responsible for ensuring that materials you supply, including logos, photographs, text, customer information, and account credentials, may lawfully be used for the agreed purpose.

You must identify a person authorized to approve work and communicate decisions. Delays in providing information, access, or approval may affect delivery dates and require rescheduling.

You remain responsible for business decisions and for reviewing deliverables for factual accuracy and suitability before authorizing publication or use.

5. Scheduling, Revisions, and Approval

Timelines are estimates unless a deadline is expressly confirmed as binding in writing. We will notify you of material delays and discuss revised arrangements.

The number and extent of included revisions will be stated in your proposal. Changes to an approved direction, new concepts, or additional deliverables may require a revised quote.

We will correct errors or material departures from the agreed scope attributable to us without an additional service charge. New preferences or requirements are treated as scope changes.

Silence does not authorize publication, additional spending, or approval of a material scope change.

6. Logo Digitization and Design

Logo digitization covers the conversion or refinement of supplied sketches, concepts, or existing artwork into the formats identified in your proposal.

Original concept development, additional variations, editable source files, and specialized production formats are included only where expressly stated.

You confirm that you have permission to use any supplied artwork. Unless separately agreed, our services do not include trademark searches, registration, or a legal opinion on whether a design may be protected or used.

7. Social Media Management

Your agreement will specify the accounts, platforms, posting frequency, content services, approval process, and any community management included.

We will publish content and respond on your behalf only within the authority you provide. Advertising budgets are separate from management fees unless expressly included.

We do not guarantee a particular number of followers, impressions, leads, sales, or other results.

Platforms control their own policies, algorithms, availability, and enforcement decisions. We are not responsible for platform actions outside our reasonable control, but remain responsible for our own performance of the agreed services.

8. Website Design and Management

Your agreement will identify the website features, pages, integrations, hosting arrangements, maintenance, and support included.

Unless expressly included, website development does not include ongoing updates, backups, security monitoring, accessibility audits, search engine optimization, legal policy drafting, or compatibility with every device and browser.

We will use reasonable care in delivering the agreed functionality. Third-party services may change or become unavailable, and additional work required by those changes may require a separate quote.

Domains and client-specific accounts should be registered in your name where practical. Any accounts we manage for you will be identified in your agreement.

9. Administrative Support and Consulting

Administrative support is performed according to the instructions and authority you provide. We will not sign contracts, authorize payments, or make binding commitments on your behalf without express written authorization.

Consulting recommendations reflect the information available at the time. Business outcomes depend on factors beyond our control and are not guaranteed.

Unless expressly agreed and delivered by an appropriately qualified professional, our services do not constitute legal, tax, investment, accounting, or other regulated professional advice.

10. Labour, Waste Management, Event, and Facility Services

Your agreement will specify the location, tasks, staffing, service hours, equipment, materials, and disposal arrangements.

You must disclose known site hazards, access restrictions, hazardous materials, and relevant safety requirements before work begins. Each party remains responsible for the safety duties imposed on it by law.

We may pause or decline work where conditions present an unreasonable safety risk, required permissions are missing, or tasks fall outside the agreed scope.

Hazardous waste, asbestos, chemicals, biological materials, sharp objects, and other regulated materials are excluded unless specifically accepted in writing and handled through appropriately qualified personnel.

Disposal will use authorized facilities where required. Additional disposal, transportation, or equipment costs require approval unless already included.

Weather, unsafe conditions, or site access problems may require rescheduling. Any cancellation or rescheduling charges must be disclosed and agreed in advance.

11. Ownership and Intellectual Property

You retain ownership of materials you provide.

Once all amounts due for the relevant deliverables are paid, ownership of custom final deliverables created specifically for you transfers to you, except for third-party materials and our pre-existing tools, templates, methods, and other background materials.

Where our background materials are incorporated into a deliverable, we grant you a perpetual, non-exclusive licence to use them as necessary to use that deliverable for its agreed purpose.

Third-party materials remain subject to their applicable licences. Drafts, unused concepts, working files, and source files are included only where your agreement says so.

We will obtain your permission before using your name, logo, confidential information, or project materials in our portfolio or marketing.

12. Confidentiality and Personal Information

Each party will protect confidential information received from the other and use it only to perform or administer the agreement.

Disclosure is permitted to personnel and service providers who need the information and are subject to appropriate confidentiality obligations, or where required by law.

We will handle personal information in accordance with applicable privacy law and our Privacy Policy. You must have lawful authority to provide personal information to us.

Where services involve sensitive information or substantial access to customer records, the parties may establish additional written requirements for access, security, retention, and deletion.

13. Cancellation, Termination, and Refunds

Our Refund and Cancellation Policy forms part of your agreement when provided to you before acceptance.

Unless your agreement states otherwise, you may cancel project work by written notice. You remain responsible for services properly performed and authorized, non-recoverable costs incurred before cancellation. Any remaining prepaid balance will be refunded under our Refund and Cancellation Policy.

Recurring services may be cancelled before the next billing date, with cancellation taking effect at the end of the current paid period, unless otherwise agreed.

Either party may terminate for a material breach that remains unresolved ten business days after written notice. We may suspend unlawful work or work presenting an immediate safety or security risk without waiting for that period.

Upon termination, we will coordinate the return of your materials and transfer of paid deliverables and client-owned account access. Additional transition services may be quoted separately.

14. Service Standards and Liability

We will perform services with reasonable care and skill. If you identify a material problem, notify us promptly so we can investigate and provide an appropriate remedy.

To the extent permitted by law, neither party is liable for indirect or consequential losses, including lost profits or business opportunities.

Subject to the exceptions below, each party’s total liability arising from an affected service is limited to the fees paid or payable for that service during the twelve months preceding the event giving rise to the claim.

These limitations do not apply to fraud, wilful misconduct, gross negligence, outstanding payment obligations, or liability that cannot legally be excluded or limited. Nothing in these terms limits mandatory consumer rights.

15. Events Beyond Reasonable Control

Neither party is responsible for delays caused by events beyond its reasonable control, such as severe weather, emergencies, or widespread utility outages.

The affected party must notify the other and take reasonable steps to reduce the impact. If the disruption continues for more than thirty days, either party may end the affected services. Payment and refunds will reflect work completed and authorized, non-recoverable costs incurred.

16. Disputes and Governing Law

Please contact us first so we can try to resolve concerns through good-faith discussion.

Unless mandatory law requires otherwise, these terms are governed by the laws of Ontario and the applicable federal laws of Canada. Disputes may be brought before a court of competent jurisdiction in Ontario, subject to any rights you have to bring proceedings elsewhere.

17. Changes and General Provisions

Updates to these terms apply to future agreements. Changes to an existing agreement require mutual written acceptance unless that agreement expressly provides otherwise.

If a provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision does not waive the right to enforce it later.

We may use qualified subcontractors while remaining responsible for our contractual obligations.
